By-Laws

Article I

Name, Purpose, Powers

1.1 Name. The name of this organization shall be Friends of the DeTour School and Public Library; hereafter referred to as the Friends.

1.2 Purpose. The Friends is a non-profit organization dedicated to support and enhance the DeTour School and Public Library by assisting the Library Director and Library Clerk.

1.3 Powers—Limitations. This organization is legally a “Parent Organization” under Section 9000 Public Relations in the By-Laws of the DeTour Area Schools and thus is subject to the Superintendent of Schools and to the guidelines of the DeTour Area School Board of Education; and thus all treasury activity must be via the Internal Accounts of the DeTour Area Schools.

Article II

Membership

2.1 Membership. Any person who supports the purpose of this organization and will uphold these By-Laws shall be eligible for membership.

2.2 Dues. Annual dues shall be paid by all members. The amount of dues will be determined by a majority vote of those members attending the October Organizational Meeting. Dues shall be prepaid for one calendar year, January 1 through December 31.

2.3 Good Standing. Any member who has paid current annual dues is a member in good standing.

Article III

Meetings of Members

3.1 Regular Meetings. Meetings shall be held at the DeTour School and Public Library on the second Tuesday of each month at 10:30 A.M. Date or time of the monthly meeting may be changed by a majority vote of those attending the October Organizational Meeting.

Article IV

Officers

4.1 Officers. The officers of the Friends shall consist of a President, President-Elect, Secretary and Treasurer. The Executive Board shall consist of the elected officers.

4.2 Election. The officers shall be elected to serve a two year term at the regular October monthly meeting. Officers shall be nominated by a nominating committee consisting of two members and presented at the September regular meeting.

4.3 President. The President shall conduct meetings and shall serve as an ex-officio member of all committees.

4.4 President-Elect: The President-Elect shall aid the President, take the President’s place when that officer is unable to perform the duties of the Position, and train for the Presidency.

4.5 Secretary. The Secretary shall keep minutes of the monthly meetings and perform any other secretarial duties that the President may direct.

4.6 Treasurer. The Treasurer shall be responsible for examining and verifying the accuracy of the monthly financial summary supplied by the executive secretary of the DeTour Area Schools from the Internal Accounts of the DeTour Area Schools. The Treasurer shall maintain a record of receipts for all deposits and withdrawals. The Treasurer will provide the membership with a report summary of all monthly activity in the account at each monthly meeting. The Treasurer shall collect dues and keep all membership records and distribute membership cards.

4.7 Vacancies. When a vacancy of any office occurs for any reason, such vacancy may be filled for the un-expired term, by a majority vote of the membership at the regular monthly meeting.

Article V

Committees

5.1 Standing Committees. Standing committees shall be appointed by the Executive Board and deal with regular and continued matters.

5.2 Special Committees. Special committees may be selected at any time by the Executive Board to deal with special matters.

Article VI

Fiscal Year

6.1 Fiscal Year. The fiscal year of the organization shall be the calendar year, January 1 through December 31.

Article VII

Dissolution

7.1 Dissolution. Upon dissolution of this organization, all remaining assets shall pass to and shall belong to the DeTour School and Public Library.

Article VIII

Amendments

8.1 Amendments. These By-Laws may be amended, suspended, altered or repealed, in whole or in part, by a formal vote of the majority of the membership in attendance—only after a discussion of the change at two regular meetings prior to being voted upon at a third regular meeting.
